Important Contract Information — Please Read Carefully
The purpose of Stat Agent is to support clients with statistical processing and related work. Where requested, we can provide not only results but also explanations of the reasoning, problem framing, and solution methods for an additional fee. Please read the following points carefully before placing an order. A contract is formed upon receipt of your payment, at which point you are deemed to have agreed to the terms below.
Contract Terms
• A contract with Stat Agent is concluded uponreceipt of the client's payment, at which point the client is also deemed to have agreed to the terms below.The agreement becomes effective upon payment.
• For invoice-payment arrangements, a contract with Stat Agent is concluded uponreceipt of the client's purchase order, at which point the client is also deemed to have agreed to the terms below.The agreement becomes effective upon payment.
• Payment using research funds, KAKENHI grants, subsidies, and similar funding can also be accommodated.
• No fees are charged for cancellation before payment.
• For cancellation after payment,30% of the amount received will be refunded, regardless of the reason for cancellation.The agreement becomes effective upon payment.

Important Notes on Use of Deliverables
• Unauthorized distribution or resale of delivered materials through copying or reproduction is prohibited.
• Deliverables may be used only by the person who placed the order. Copyright in the deliverables belongs to Stat Agent.
• Deliverables may be used in academic papers, materials, and publications, butplease contact us in advance.
• We can flexibly discuss credit attribution for academic conferences, papers, and publications.
• Statistical-processing results and other deliverables are not guaranteed to be 100% accurate.
• We do not guarantee the award of academic credits.
• We do not accept requests for real-time analysis during examinations or similar situations.
• Deliverables are not automatically adapted to specific formats such as cover-page requirements or designated styles. Such formatting can be provided for an additional fee.
• Numerical values in deliverables may differ slightly due to rounding and significant-digit conventions.
• Deliverables are retained for7 daysThe agreement becomes effective upon payment.
Support After Delivery
• If requested within2 daysafter delivery, corrections are provided free of charge, except for major changes in content.
• Questions about delivered materials are accepted within 3 days after delivery.
• We cannot revise the deliverable into content that is entirely different from the original request.
• Free corrections for defects or deficiencies in deliverables are available from the delivery date for7 daysthe period stated above. Requests after that period cannot be accommodated.

Confidentiality of Personal Information
Stat Agent strictly manages information provided by clients.We do not provide information to third-party organizations or disclose client information without authorization.We also supportAll transaction records and email correspondence are managed and retainedunder our information-management procedures. If you require a non-disclosure agreement concerning the handling of personal information, please let us know. We can send a sample by email; after any revisions are mutually agreed, two signed/sealed copies can be mailed, after which one copy should be signed/sealed and returned.
Sample Non-Disclosure Agreement
Stat Agent (hereinafter “Party A”) and XXXXXXXXX (hereinafter “Party B”) hereby enter into the following non-disclosure agreement concerning the handling of confidential information disclosed between the parties.Purpose of the Non-Disclosure Agreement
Article 1
The purpose of this Agreement is to prescribe the handling of confidential information disclosed between Party A and Party B in connection with Party A's performance of analysis-outsourcing services as part of consulting services for Party B's analysis-outsourcing request (hereinafter, the “Services”).
Confidential Information
Article 2
In this Agreement, “Confidential Information” means the information specified in the following items that a disclosing party discloses to a receiving party in connection with the Services.
(1) Information disclosed after being identified as confidential, whether in tangible form such as documents, drawings, technical materials, or other related materials, or in intangible form such as electronic media including email, programs, or image data displayed on a screen.
(2) Information disclosed orally after being identified as confidential, provided that the content of such information and the date and time of disclosure are presented to the receiving party in writing within 30 days after the oral disclosure.
Confidentiality
Article 3
The receiving party shall maintain the Confidential Information in strict confidence and shall not disclose or divulge it to any third party other than officers and employees of the receiving party who need to know the Confidential Information in order to perform the Services (hereinafter, “Authorized Personnel”). This restriction shall not apply to information that the receiving party can demonstrate falls under any of the following categories.
(1) Information already known to the receiving party before disclosure by the disclosing party.
(2) Information already publicly known before disclosure by the disclosing party.
(3) Information that becomes publicly known after disclosure by the disclosing party through circumstances not attributable to the receiving party.
(4) Information independently developed by the receiving party without reliance on information disclosed by the disclosing party.
(5) Information lawfully obtained by the receiving party from a third party without an obligation of confidentiality.
2. Notwithstanding the preceding paragraph, the receiving party may,
with the disclosing party's prior written consent, disclose Confidential Information to a third party.
3. The receiving party shall impose the confidentiality obligations set forth in this Agreement on Authorized Personnel, including persons who leave employment after learning Confidential Information and third parties to whom Confidential Information is disclosed under the preceding paragraph. Any violation of this Agreement by such persons shall be deemed a violation by the receiving party.
4. The receiving party shall not modify Confidential Information without the disclosing party's prior written consent.
Prohibition of Use for Other Purposes
Article 4
The receiving party shall not use Confidential Information for any purpose other than performance of the Services.
Disclosure to Contractors and Other Service Providers
Article 5
If the receiving party outsources or subcontracts work necessary to perform the Services to another third party and it is necessary to disclose Confidential Information to that third party, the receiving party may, notwithstanding Article 3, disclose Confidential Information only to the extent necessary for the Services. In such case, the receiving party shall impose obligations equivalent to those under this Agreement on the third party, and any violation of this Agreement by the third party shall be deemed a violation by the receiving party.
Damages
Article 6
If either Party A or Party B violates any provision of this Agreement, the other party may terminate this Agreement without prior demand or notice.
2. In such case, regardless of whether the Agreement is terminated, the breaching party shall be liable to compensate the other party for damages suffered as a result of the breach.
Term
Article 7
The term of this Agreement shall be from [Month] [Day], 20XX to [Month] [Day], 20XX.
Measures After Termination
Article 8
Even after this Agreement terminates, Articles 3, 4, and 9 shall remain in effect.
2. Upon completion of the Services or upon request by the disclosing party, the receiving party shall immediately return the Confidential Information to the disclosing party.
Consultation
Article 9
If any matter not provided for in this Agreement or any question concerning interpretation of any provision arises, Party A and Party B shall consult with each other in good faith and promptly resolve the matter.
To evidence the formation of this Agreement, two originals shall be prepared, signed or sealed by Party A and Party B, with each party retaining one original.
